GED Acquires Sampson Automation

Merger creates world’s leader in automated manufacturing systems for the window and door industry.

Twinsburg, Ohio – August 12, 2004 | GED Integrated Solutions, Inc. (GED) today announced the acquisition of Sampson Automation Co., the leading provider of vinyl and aluminum fabrication systems for the production of frames for windows and doors. With this acquisition, GED builds on its leadership as the number-one provider of manufacturing systems for insulated glass units used in window and door production. The combined companies will provide an automated system that fully integrates the two production processes: The manufacture and assembly of both insulated glass units and of vinyl sash and frames for windows and doors will now for the first time be integrated as one production line.

“This merger was prompted by our customers,” said Ron Auletta, President and CEO of GED. “They wanted an automated system that allows them to seamlessly integrate what has up to now been a disjointed process. Now they can manufacture a window or door using one system that automatically aligns how the insulated glass and vinyl framing production processes work together.”

“Automated manufacturing systems are undoubtedly where the industry is headed,” Auletta continued, “because they give manufacturers the ability to improve their productivity and cost-efficiencies, while maintaining their high-quality standards.”

Sampson will continue to operate out of its headquarters and manufacturing facility in Hauppauge, New York, and a sales office in Stow, Ohio. GED will incorporate Sampson into its Window Fabrication Systems unit. Sampson’s chairman, Bob Quinn, will continue as a strategic advisor to the company. Sampson’s president, Paul Barbero, and vice president, Randy Moss, will continue in key management roles.

“The coming together or our two companies makes perfect sense for Sampson and GED, and most importantly, it makes sense for our customers,” said Bob Quinn, Sampson’s chairman. “We’re proud to have built Sampson to be a leader in its field over the last 30 years and are excited about the future as a combined company.”

According to Auletta, GED plans to acquire additional companies to add to their technology platform. “Customers can continue to look to us for innovative, next-generation solutions that streamline and automate their manufacturing processes. Our vision is to be the most complete end-to-end, automated manufacturing system to window and door manufacturers around the world.”
